Disclosure of business continuity plan

FASC is disclosing this summary to assist clients in determining the appropriate course of action that should be taken when a significant business disruption (SBD) might occur. We shall now address the five different scenarios that might cause a SBD:

1) Firm only business disruption: FASC plans to continue institutional equity research business during this scenario. FASC plans to make alternative institutional sales personnel contact instructions available to its clients within 24 hours of the SBD start. FASC plans to post these instructions at its backup Web site (reached at the normal URL, www.research-driven.com) within 24 hours of the SBD start. Available institutional sales personnel with access to working wireless or wireline phone service will respond to and initiate client contact on a remote-access basis as appropriate. FASC plans to continue corporate finance business during this scenario. FASC plans to make alternative corporate finance personnel contact instructions available to its clients within 24 hours of the SBD start. FASC plans to post these instructions at its backup Web site (reached at the normal URL, www.research-driven.com) within 24 hours of the SBD start. Available corporate finance personnel with access to working wireless or wireline phone service will respond to and initiate client contact on a remote-access basis as appropriate. FASC does not plan to continue trading business during this scenario, as trading is not a mission critical service/business for FASC or its clients. However, FASC plans to make alternative trading personnel contact instructions available to its clients within 24 hours of the SBD start to help address any outstanding issues related to historical transactions. FASC plans to post these instructions at its backup Web site (reached at the normal URL, www.research-driven.com) within 24 hours of the SBD start.

2) One South Wacker building business disruption: We will undertake the same measures as described above in no. 1.

3) Loop business district business disruption: We will undertake the same measures as described above in no. 1.

4) Chicago city-wide business disruption: We will undertake the same measures as described above in no. 1.

5) Chicago regional business disruption: We will undertake the same measures as described above in no. 1.

6) Business disruptions affecting the Colorado and New York offices: The Colorado and New York offices only conduct institutional sales business. FASC’s Colorado and New York personnel plan to continue institutional sales business during this scenario. FASC plans to make alternative Colorado and New York institutional sales personnel contact instructions available to its clients within 24 hours of the SBD start. FASC plans to post these instructions at its backup Web site (reached at the normal URL, www.research-driven.com) within 24 hours of the SBD start. Available Colorado and New York institutional sales personnel with access to working wireless or wireline phone service will respond to and initiate client contact on a remote-access basis as appropriate.
